Stock awards are grant-date accounting values rather than cash received, and for this group the two diverge sharply: Glenn Fogel's reported stock award was $26.20 million while the value he realised on 2025 vesting was $101.85 million.
Reading the package
Salary was about 3.5 percent of the chief executive's 2025 reported total, stock awards about 74.0 percent, the annual cash incentive about 11.4 percent and all other compensation about 11.1 percent. The all other compensation line is unusually large for this group at $3.92 million against $11,047 for the chief financial officer, and the proxy does not break it out in the reviewed material. The reported total has fallen for two consecutive years, from $46.718 million in 2023 to $44.838 million in 2024 and $35.418 million in 2025.
Grant timing, founder arrangements, multi-year awards and accounting valuation make a one-year chief executive total a poor standalone measure of pay competitiveness. Reading the data correctly
- A certified labour condition application records an offered base wage for a specific role and worksite. It excludes bonus, stock and benefits, so it can never be compared directly with a total compensation figure.
- Certification by the Department of Labor is not the same as approval by USCIS, and the reviewed datasets do not reliably establish approval rates for any Booking Holdings entity.
- The Rocket Travel and Rocketmiles rows are city aggregates across mixed role families. Reading their medians as engineering wages would understate Booking.com engineering pay by a wide margin.
- The visible sample is tiny. Six Booking.com role rows and eighteen Rocket Travel records is not enough to describe a United States pay distribution, and no percentile beyond the visible minimum and maximum is published.
- Different H-1B datasets use different extraction dates and different entity-name matching, so counts from one source should not be combined with role rows from another.
Key Nuances & Insights
Booking Holdings is a federation of brands, not one employer with one grade table. Booking.com reveals an E to I engineering ladder and Agoda an Associate to Principal ladder, and no authoritative numeric mapping between them exists. The B1 to B11 crosswalk here is an analytical construct for orientation, not something to quote back in a negotiation.
The 2026 proxy states that equity was excluded from median-employee compensation because it is not distributed to all employees. That single sentence is the clearest disclosure on employee equity in the entire source set, and it means no band in this report carries a guaranteed grant.
Agoda operations, Booking.com engineering, KAYAK product and Booking Holdings corporate roles can sit in the same city and face different labour markets, different incentive mixes and different benefit sets. Its 2025 chief executive total of $35.418 million is roughly twice Expedia's $17.593 million for Ariane Gorin, while Brian Chesky's $242,000 at Airbnb is a founder arrangement rather than a market rate and Trip.com does not disclose a comparable individual figure. At the employee level the comparison is much weaker: with no published bands, no ESPP and equity that reaches only part of the workforce, a Booking Holdings package is harder to benchmark against a large United States technology employer than the headline financials suggest.
