Model rules

Employee payout timing and history
No company-wide payout percentage is published for employees. The only enterprise-level evidence is the cash bonus expense recorded in the benefit-plan disclosures: $25.6 million in FY2026, $32.8 million in FY2025 and $13.5 million in FY2024. That is an accounting aggregate covering a changing headcount and cannot be read as a target-achievement percentage. Merger employee materials indicated that FY2026 United States annual bonus payouts were communicated for the end of August 2026.
Sales and special incentives
Bio-Techne is not an offshore delivery business, so there is no onshore and offshore allowance structure to model. United States commercial, field-applications and customer-facing roles can sit on sales incentive plans distinct from the band model, and sampled postings confirm commission structures exist, but no quota, accelerator or commission curve is publicly disclosed.
Equity — RSUs, PSUs, Options & ESPP
Bio-Techne runs three distinct stock channels that should not be conflated: a Section 423 employee stock purchase plan open broadly, time-based options and restricted stock units that the FY2026 Form 10-K says have been extended deeper into the organisation, and performance restricted stock units concentrated in senior leadership. The pending Merck KGaA merger stops new grants and terminates the purchase plan at closing.
- The disclosed reserve balances are not a clean utilisation denominator. The merger proxy's categories for outstanding awards, plan-reserved shares and purchase plan shares differ and may overlap in economic exposure, so no reliable equity-pool utilisation percentage is publicly disclosed and none is calculated here by dividing unlike categories.
- The two research bundles report the reserve differently. One quotes 5,538,267 shares reserved for plan grants and 187,716 for the purchase plan from the merger proxy; the other quotes 5.9 million available for future grant and 8.1 million subject to outstanding awards from the FY2026 Form 10-K. Both are used above with their source named.
- The option book is close to worthless in aggregate at current prices. The weighted-average exercise price of $73.60 sits above the $73.00 cash merger consideration and above the $72.33 reference share price, and options struck at or above $73.00 receive no payment at closing.
- No filing states a minimum band for a recurring grant. Historical disclosures cover key non-management employees, management and executives, which establishes breadth but not entitlement, so every modelled grant value below senior leadership is an estimate rather than a plan promise.

Vesting — common reported employee schedule
The schedule above is the standard option pattern of 25 percent on each of the first four anniversaries. Time-based restricted stock units run faster, vesting in one-third instalments over three years, and performance restricted stock units run slower, cliff-settling after a three-year performance period. Under the merger terms vested in-the-money options are expected to be cashed out for the spread, unvested awards generally convert to cash-based awards that continue vesting, and options struck at or above $73.00 receive nothing.
Eligibility by hierarchy level
- No recurring grant is evidenced at B1 or B2. For those levels the employee stock purchase plan is the only reliable stock vehicle.
- From B3 to B5 the bundle models selective grants of $0 to $25,000 in annual value, framed as ad hoc or retention rather than an annual entitlement.
- B6 is the first level with an observed grant for selected key talent, modelled at $5,000 to $25,000, but the threshold itself is not disclosed.
- B8 to B10 are modelled at $10,000 to $150,000 depending on level, described as annual or retention specific, again with no published threshold.

Executive Compensation
The FY2025 proxy is the last ordinary Summary Compensation Table Bio-Techne has published. The FY2026 annual-meeting proxy had not supplied a newer table by the report date; the August 2026 special merger proxy carries transaction-specific amounts instead, which are shown separately rather than folded into annual pay.
Reading the package
Salary was 11.5 percent of the FY2025 reported total, stock and option awards 71.9 percent, the non-equity incentive 16.2 percent and all other compensation less than half a percent. The equity figures are grant-date accounting values rather than money received, and with the option book struck at a weighted average of $73.60 against a $73.00 merger price, a material part of that accounting value carries no realisable spread.
Bio-Techne's chief executive pay sits mid-pack in this life-sciences tools set, close to Bio-Rad, above Repligen and Bruker and materially below Waters and Revvity. Pay ratios are not comparable across the set because they depend on workforce geography and role mix as much as on executive pay: Revvity's 239:1 reflects a $57,745 median rather than an unusually large package. The disclosure periods are also not perfectly synchronised, so these are proxy-to-proxy comparisons rather than matched fiscal-year economics.
Named Executive Officers & Board
Bio-Techne's FY2026 officer roster is small and the compensation disclosure covers only those who qualify as named executives. One segment president changed during the year: Steve Crouse became President of Diagnostics and Spatial Biology effective 1 March 2026, and his package is disclosed in a Form 8-K rather than a proxy table.

Reading the data correctly
- A labour condition application is a Department of Labor wage and working-conditions filing, while an approval or denial is a separate USCIS petition outcome that may be decided in a different fiscal year. Dividing approvals by applications does not produce a meaningful approval rate, and no such rate is calculated here.
- The wages are proffered base salary only. They exclude the annual incentive, any option or restricted stock unit grant and the employee stock purchase plan discount, so they are not comparable with the total compensation figures in the band table.
- The sample is tiny. Nine to eleven records cannot support a percentile claim in the way a thousand-record employer sample can, and the percentiles above are sample order statistics rather than an employer-wide release.
- The two research bundles disagree outright on whether any usable Bio-Techne visa record exists. This section follows the bundle that located records under the subsidiary employer name, and flags the disagreement rather than suppressing it.
- Employer-name variation is the single biggest risk in this dataset. Bio-Techne files under Research and Diagnostic Systems, Inc., and acquired businesses may file under their own legal names, so the true count is likely to be at least as high as shown and possibly higher.
Key Nuances & Insights
B1 to B11 is a research crosswalk over public titles, not a leaked internal architecture. The two source bundles built different ladders from the same evidence, one running to fourteen levels and one to ten, which is the clearest possible proof that the numbering is analytical. Quoting a band number back in a negotiation would be quoting this report, not the company.
The FY2026 Form 10-K states plainly that stock option eligibility has been expanded deeper into the organisation and that long-term incentives now mix options and restricted stock units. That is an unusually direct disclosure and it matters: at a $1.2 billion revenue instruments and reagents business, equity reaching below the director layer is not the norm.
Breadth is disclosed and depth is not. Filings give aggregate option and unit activity plus individual executive grants, and nothing in between. Every grant value modelled here for B3 through B11 is an estimate around that gap, not a plan promise, and no filing names a minimum level for a recurring award.
An employee can encounter the employee stock purchase plan at a flat 15 percent discount, time-based options vesting over four years and restricted stock units vesting over three, and performance units that cliff after three years on organic revenue, adjusted EBITA and relative shareholder return. These have completely different risk profiles and should never be added together as one equity number.
At 30 June 2026 the weighted-average exercise price on 7.108 million outstanding options was $73.60, above both the $73.00 cash merger consideration and the $72.33 reference share price. Options struck at or above $73.00 receive no payment at closing, so a large part of the disclosed grant-date value will never convert into cash for its holders.
Pre-close design still governs outstanding awards, but new grants stop at the effective time, the purchase plan terminates, unvested awards generally convert to cash-based awards that continue vesting, and a $22 million retention pool sits over critical talent below Vice President. Anyone modelling a Bio-Techne package for 2027 is modelling a Merck package.
FY2025 paid 86.4 to 145.0 percent of target across the named executives; FY2024 paid roughly 29 to 52 percent. A plan that can pay a third of target one year and a third above it the next is not a disguised salary, and the enterprise bonus expense fell from $32.8 million to $25.6 million between FY2025 and FY2026 accordingly.
Neither bundle verified a significant direct employee office in either country. The official contact network lists an Australian distributor in Noble Park, Victoria, and the only India footprint evidence is Pune plus a New Delhi sales role. The columns are useful for comparability and must not be presented as a Bio-Techne salary sheet.
State pay-transparency rules put real employer ranges in public for scientific and leadership roles, which is why the Minneapolis and San Jose anchors are usable. The United Kingdom has a decent posting sample from Abingdon and Bristol. Everything else is a calibration factor applied to a United States median.
Research and Diagnostic Systems, Inc. is the legal employer in the sampled labour condition applications. One research bundle found ten FY2025 filings under that name and the other found none searching for Bio-Techne, which is a textbook employer-name false negative rather than a genuine contradiction.
Public data cannot separate new-hire offers from incumbent salaries at matched level and location. A lateral premium is plausible in tight scientific and software markets, but no Bio-Techne-specific controlled dataset exists, so none is asserted.
ProteinSimple, Novus Biologicals, Advanced Cell Diagnostics, Asuragen, Tocris and Lunaphore all operate under the Bio-Techne brand with their own legal entities. Filings never say whether their grading was harmonised, so a title at an acquired site may not carry the same scope as the same title at Minneapolis.
Research control
Bio-Techne's chief executive pay of $8.151 million sits mid-pack in this life-sciences tools set, close to Bio-Rad at $7.996 million, above Repligen at $6.115 million and Bruker at $4.706 million, and well below Waters at $13.973 million and Revvity at $13.810 million. Its 88.9:1 ratio is the second lowest in the set, but that is a function of a $91,707 median employee in a manufacturing and laboratory workforce rather than of executive restraint. On the employee side the ladder tops out low by technology standards, with the highest banded level here at $380,000 total, because Vice President and above are carried as executive tiers rather than as bands and because equity below leadership is selective rather than routine.

Known gaps and diligence before relying on a cell
- 1Vice President, SVP, EVP, segment president and Chief Executive Officer are deliberately excluded from the band rows. One bundle carried them as bands B12 to B14 with worldwide proxy values that are identical in every city table, which would drag every location's calibration factor toward 1.0 at the top of the ladder and produce an India cell priced on a United States chief executive salary. Those cohorts are carried in the executive and career-level sections instead, and the ladder stops at senior director.
- 2The bundle's published Minneapolis total for B1 and B2 sat about 5 percent above base plus target variable pay with no equity evidenced at those levels. Those two rows are rebuilt from components, so their totals here are $47,430 and $59,225 rather than the bundle's $50,000 and $63,000. Every other row's total is the bundle's own figure with the equity column set to the residual it implies.

Bio-Techne does not publish quarterly net additions, an attrition percentage, city-level headcount or a three-year median employee remuneration trend in a comparable format, so the two data points above are the entire disclosed workforce series.
