Employee payout timing and history

BD publishes no workforce-wide target-bonus schedule, no payout calendar and no employee payout percentage by grade for any year. Current postings sometimes state that an annual bonus and a potential discretionary long-term incentive are included, but they establish no universal target. The 85 percent FY2025 factor applies to the executive plan only and should not be read as a companywide multiplier.

Sales and special incentives

Sales compensation is a separate system at BD and a large one. A current Franklin Lakes director role exists specifically to govern global sales incentive standards across a sales force of roughly 5,500 people, with regions and business units retaining local execution. BD discloses no quota structures, commission rates, accelerators or draw arrangements, so quota-carrying sellers in this model carry the same modeled target as their level peers, which will understate their on-target earnings.

The three instruments vest on three different clocks, which is the single most important thing to understand about a BD senior-leader grant. Stock appreciation rights vest 25 percent annually over four years and carry a ten-year term, time-vested units vest one third annually over three years, and performance units settle as a single cliff after a three-year performance period once the committee certifies revenue growth, return on invested capital and the relative shareholder return modifier. On retirement unvested SARs generally become exercisable and time-vested units vest in full, while performance units vest pro rata on elapsed period and actual results.

The one quantified signal is narrow. The chief executive received a 3 percent salary increase for 2025, which the proxy described as consistent with salary increases made generally at BD. Reading the data correctly

  • Labour condition application wages are offered base salary. They exclude any annual bonus and any long-term incentive, which at BD are the components with the least public visibility anyway.
  • City percentiles for every worksite except Franklin Lakes are modeled from the national FY2025 distribution rather than published, because no aggregator exposes stable city-level quartiles for BD. They are analytical estimates and are labelled as such.
  • Worksite record counts are historical aggregates rather than single-year filings, so they cannot be compared directly with the 173 FY2025 applications.
  • The five public extracts disagree, reporting FY2025 medians between $120,000 and $141,059 because they apply different fiscal-year filters, refresh dates and status categories. This report preserves each figure separately rather than averaging them.
  • Labour condition application certification is not the same as a USCIS petition approval. A clean current company-level USCIS initial and continuing petition approval table was not identified in a source robust enough to publish, so the approval counts here come from the sponsor profile rather than a USCIS table.
  • Sample sizes outside Franklin Lakes and San Diego are small enough that title mix rather than geography can dominate the apparent city differential.

Key Nuances & Insights

01B1 to B12 is a research normalization, not a BD grade chart

BD publishes no enterprise band architecture. Two genuine internal labels exist in filings, Job Group 6 on a live Franklin Lakes director requisition and job level J-G9 in the 2026 Executive Severance Plan, but nothing maps the sequence between or beneath them. Quoting a B-band back to a BD recruiter would be quoting this report, not the company.

02Equity only becomes legible at vice president

The strongest level-specific equity disclosure is the standardized 50 percent performance unit, 25 percent SAR and 25 percent time-vested unit mix for vice president and above. Below that, the plan permits grants and postings mention a potential discretionary long-term incentive, but no threshold, frequency or value is public, which is why every band below B11 in this report carries zero equity.

03The ladder here is cash, and that understates senior packages

Because no grant value is disclosed below executive vice president, the B1 to B10 totals are base plus target bonus only. A real BD director or vice president package almost certainly includes long-term incentive value. This report refuses to invent that number, so treat those totals as a target-cash floor rather than a total-reward estimate.

04The 374 to 1 ratio is about workforce mix, not executive excess

BD's chief executive is the lowest paid in its peer set at $17.13 million, yet its pay ratio is far higher than a technology company's, because the $45,831 median employee reflects roughly 16,000 associates across Mexico, Central America and the Caribbean and a heavily manufacturing workforce. Ratio comparisons across industries mostly measure who a company employs.

05SARs behave nothing like RSUs

A stock appreciation right delivers only the appreciation above the grant price, so a flat share price delivers nothing at all. Polen's August 2026 exercise shows the mechanics plainly: 43,278 SARs exercised at $167.25 produced a $7.24 million issuer disposition and only $768,120 of genuine open-market proceeds.

06Committee discretion is material and disclosed

The FY2025 Performance Incentive Plan formula produced 74 percent and the committee lifted the final corporate factor to 85 percent for tariff and transaction-related costs. That is an eleven-point discretionary adjustment on a scorecard that looks purely mechanical, and it is worth remembering before modelling a payout from published weightings.

07ESOP is the wrong word for what BD runs

For a New York Stock Exchange parent the relevant structures are the 2004 omnibus equity plan and the Global Share Investment Program. There is no Indian ESOP trust, no BSE or NSE allotment stream and no SEBI substantial acquisition process. Calling every award an ESOP would erase the difference between performance units, SARs, time-vested units and payroll share purchase.

08There is no United States employee stock purchase plan in the filings

No broad Section 423 plan was identified in the 2026 proxy, the FY2025 Form 10-K or the plan exhibits. That is a genuine structural difference from most large-cap employers and means United States associates below vice president have no evidenced routine route to company stock at all.

09The Global Share Investment Program is current but under-specified

An August 2026 Form 4 confirms GSIP Trust holdings and shares acquired through the programme, so it is operating. The useful mechanics, including a match of up to 3 percent of base pay and open-market purchases held in trust, come from a much older proxy. The present country list, ceiling, match rate and vesting rules were not revalidated anywhere.

10Evidence quality varies sharply by country

The United States, United Kingdom, Ireland, Switzerland, Poland and Canada publish statutory posting ranges, which makes their anchors genuinely official. India, Australia and Singapore rest on salary-site observations, and Mexico, Brazil, China, Hungary and the United Arab Emirates rest on market modelling alone. A cell's confidence depends far more on its country than on its band.

11The headcount series has a transaction break

FY2025 reported about 72,000 associates in 61 countries. After the February 2026 Waters combination, continuing BD described itself as having more than 60,000 employees. Those are different corporate perimeters, not attrition, and treating the drop as workforce reduction would be a serious misreading.

12Sales incentive design is being centralised

A current director role governs global sales incentive standards across roughly 5,500 sellers, with regions and business units retaining execution. That signals a system in transition, so any quota, commission or accelerator assumption drawn from historical practice is unusually likely to be stale.

13Global pay arbitrage here is a model output

The location factors imply roughly four and a half to five times United States to India base differences for comparable professional roles, about 1.2 to 1.4 times United States to Australia and about 1.4 to 1.6 times United States to the United Kingdom. These are labour-market observations, not BD internal transfer ratios, and BD publishes no onshore or offshore allowance policy.

14Lateral versus internal gaps cannot be quantified

BD's posted ranges are wide enough to leave real room for a lateral premium, and a director range spanning more than $115,000 makes that obvious. But no public evidence supports a band-level estimate of how much a lateral hire earns over an internal promotee, so this report records the gap rather than guessing at it.

BD's chief executive pay is the lowest in its medical technology peer set, at $17.13 million against $21.40 million at Stryker, $22.94 million at Medtronic, $24.20 million at Abbott and $29.81 million at Baxter, and it has moved barely 3 percent in four years. On the employee side the picture is the opposite of a technology company: official posting ranges are competitive at professional levels, with a director band at $192,000 to $307,200 in Franklin Lakes, but the absence of any disclosed equity value below vice president and of a United States employee stock purchase plan means the visible package is far more cash-weighted than at a large-cap software employer at the same seniority.

Known gaps and diligence before relying on a cell

  1. 1The two bundles build different ladders. The first normalizes twelve bands, B1 to B12, and the second fifteen research bands, R0 to R14. This report follows the first because its band anchors are tied to named official posting ranges, and it records the second bundle's alternative anchors in the band source notes.
  2. 2The two bundles disagree on the professional entry level. The first models B2 at $48,000 to $68,000 while the second models Engineer I at $70,000 to $100,000. This report keeps the first bundle's figure because it is continuous with the operator band beneath it, but a degreed Engineer I at BD is likely closer to the second bundle's range.
  3. 3The two bundles disagree on bonus targets at leadership levels. The first models 20 percent at director and 25 percent at senior director; the second models 30 percent and 40 percent. This report uses the first bundle's lower figures because they are continuous with the bands beneath, and both figures are planning assumptions rather than BD disclosures.
