- The Charlotte R1 to R8 midpoints come from the bundle's own location model, constrained by the official $25 an hour wage floor at the bottom and by the disclosed named-officer awards at the top.
- The reported United States role track is priced from national employee submissions rather than Charlotte-specific ones, so applying city factors to those seven rows is a modelling extension rather than a direct observation.
- India total compensation runs at roughly 12 percent of the Charlotte anchor at R1 and rises towards 22 percent at the top of the ladder, and base pay compresses less than total compensation, which is why India carries separate base and total calibration factors.

Model rules
- Every modeled cell is the Charlotte median multiplied by the city base or total factor and then by the 25 August 2026 foreign-exchange snapshot.
- City factors are derived from the bundle's own 40-city by 8-level estimate matrix, taking the ratio of each city's R1 and R6 midpoints to Charlotte's and interpolating the levels in between by seniority.
- United States cities carry a single flat factor because the bundle's own model applies one multiplier across every level in those markets. Offshore and international markets carry separate junior and senior factors because their compression is genuinely level-dependent.
- A total compensation cell is base plus target cash variable plus annualised equity. No notional employer benefit load is added, so total compensation here is pay rather than employer cost, and it reconciles to the sum of its components.
- Sign-on payments, deal bonuses, expatriate premiums, relocation and one-time retention awards are excluded because Bank of America publishes no schedule for any of them.

Employee payout timing and history
No company-wide employee payout factor has ever been published, so there is no 80, 100 or 120 percent of target series for the rank and file. The R1 to R7 targets shown here are analytical midpoints of the ranges in the research bundle and should be read as a planning envelope. The two reported rows are actual observed bonus components from employee submissions and are the only non-executive payout evidence in this report.
Sales and special incentives
Bank of America publishes no quota structures, commission rates, accelerators or draw arrangements for its wealth, business banking or markets sales populations. Investment-banking bonuses are communicated in January and paid in February according to Reuters reporting, and the 2024 pool rose about 10 percent on average, but neither figure is a company disclosure and neither applies outside the investment bank.
Equity — RSUs, PSUs, Options & ESPP
Bank of America is a United States issuer, so employee equity means restricted stock units and performance restricted stock units under the parent equity plan rather than an Indian-style employee stock ownership plan with a strike price. The defining feature is breadth: the Sharing Success programme reached about 96 percent of employees in January 2026, while the equity plan proposal reported no stock options outstanding at all.
- The 100 million share increase approved in 2025 implied roughly 184.94 million shares of theoretical availability immediately after approval, before subsequent grants, settlements and forfeitures. The precise remaining reserve at the report date is not disclosed in any single current plan table.
- A simple utilisation ratio of the kind Indian issuers publish does not map onto this plan. Multiple award types, forfeiture recycling and share-counting provisions mean that dividing 107 million granted units by 990 million authorised shares would not equal economic utilisation.
- The equity plan proposal reported no stock options outstanding, so option strike prices, exercise windows and underwater-option questions do not arise for the current employee population.
- At the $62.43 reference price the nearly 19 million Sharing Success shares carried an illustrative spot value of about $1.186 billion against the announced $1 billion grant value. The gap is share-price movement between grant pricing and the reference date, not an increase in the award.
Equity plan capacity and grant activity
Vesting — common reported employee schedule
Most employee restricted stock units vest 25 percent on each of four annual anniversaries. The named executive time-based units follow the same four-annual-instalment pattern with the first instalment on 15 February 2027, the performance units are a single three-year settlement in 2029 at 0 to 150 percent of target, the chief executive's cash-settled units run in twelve monthly instalments across 2026 and 2027, and director restricted stock vests in one year.
Eligibility by hierarchy level
- There is no single rule that equity starts at Vice President. Sharing Success reaches the broad employee population well below senior management, while recurring deferred incentive equity rises with total compensation rather than with title.
- Senior management is generally excluded from Sharing Success, which is the one eligibility boundary the company states directly.
- The analytical grant envelopes in the research bundle run from $0 to $5,000 at R1, $2,000 to $15,000 at R4, $5,000 to $40,000 at R5, $25,000 to $150,000 at R6, $150,000 to $1 million at R7 and $1 million to $30 million at R8. These are estimates, not a published grant schedule.
- Reported employee packages show stock at every reported technology band, from about $1,900 a year for a Software Engineer I to about $12,600 for a Feature Lead, which is consistent with broad eligibility and modest amounts below the senior tiers.

These are the Compensation and Human Capital Committee's 2025 performance-year decisions rather than SEC Summary Compensation Table values, because the performance-year table is the only disclosure that splits every named officer's award into salary, cash incentive and each equity instrument. The chief executive's SEC total for the same year was $33,711,521.
Reading the package
Salary was 3.7 percent of the $41.0 million performance-year award and the company describes 96.3 percent of the total as variable. There was no annual cash bonus at all: the entire incentive was delivered as cash-settled, performance and time-based restricted stock units, and roughly half of the variable portion sits in performance units that can settle anywhere between 0 and 150 percent of target in 2029. The chief executive is also subject to post-vesting stock retention requirements and clawback and cancellation provisions.
The six large United States banks clustered within $7 million of each other for performance year 2025, and Bank of America sat fifth of six. Named Executive Officers & Board
Bank of America reorganised its senior leadership in September 2025. Dean Athanasia and Jim DeMare were named Co-Presidents and Alastair Borthwick was designated Executive Vice President and Chief Financial Officer, creating a clearer succession bench beneath a chief executive who has led the company since 2010.
The two chief executive totals in circulation are both correct and answer different questions. The $41.0 million figure is the Board's decision for performance year 2025, disclosed on 13 February 2026. The $33,711,521 figure is the SEC Summary Compensation Table total for the same year, which includes about $30.67 million of stock awards on a grant-date accounting basis plus salary, the change in pension and nonqualified deferred compensation value, and all other compensation. Mixing them, or comparing one company's performance-year award with another's SEC total, creates false comparisons.

The standard 2025 non-management director package was therefore $410,000, of which 68 percent was stock. Maria Martinez's 5,365 share restricted stock award on 4 May 2026 is the annual director grant made under this programme at a zero acquisition price.

The proxy discloses named executive officers only. Geoffrey Greener as Chief Risk Officer, Sheri Bronstein as Chief People Officer, Bernard Mensah as President International, the General Counsel, the Chief Technology Officer and every country and regional head fall outside the disclosure, and their compensation is not publicly disclosed. Their share movements are visible on Forms 4 but a Form 4 shows a transaction, not a salary.

- A labour condition application is a Department of Labor prerequisite, not a United States Citizenship and Immigration Services petition approval. The 789 of 790 certification rate is an application outcome and says nothing about visa approvals.
- No defensible company-specific H-1B petition approval rate for FY2025 or FY2026 was verified in any source, so this report records it as not publicly disclosed rather than reusing the certification rate.
- The 25th and 75th percentiles for every city are reconstructed from published salary buckets on a uniform-within-bucket assumption. They are analytical estimates, not published statistics.
- Wages are proffered base salary. For a bank where senior pay is heavily deferred into restricted stock units, a visa wage understates a senior package far more than it understates a junior one.

Key Nuances & Insights
Sharing Success reached about 96 percent of employees in January 2026 with nearly 19 million shares. Almost no other bank of this size puts stock into the hands of the whole workforce, and it is the single most distinctive thing about how Bank of America pays.
The programme value and the share count are disclosed; the distribution is not. Dividing $1 billion by roughly 204,480 eligible employees gives about 93 shares and $4,890 each, but the company never says allocations are equal, so that arithmetic is a ceiling on what can be known rather than an answer.
Charlotte visa filings show Vice President engineers and managers from roughly $128,000 to $190,000 of base wage. Enterprise authority begins several layers higher, at Senior Vice President, Director, Managing Director, line-of-business president and the executive team.
The $41.0 million performance-year award and the $33.71 million SEC Summary Compensation Table total answer different questions about the same year. Comparing one bank's performance-year award with another bank's SEC total is the most common way to get cross-bank comparisons wrong.
In the same reported dataset, a Band 5 software engineer takes under 1 percent of base as cash bonus while a Band 4 data scientist takes about 15 percent and an investment banking sample takes about 40 percent. A single bonus target by level would misstate most of the population.
India total compensation runs at roughly 12 percent of the Charlotte anchor at the entry band and rises towards 22 percent at the top of the modelled ladder, while base pay rises from about 11 to about 25 percent. Flattening that into a single multiplier would misprice both ends.
Senior variable compensation is deferred into restricted stock units under a grid, is risk-adjusted, and can be reduced or cancelled for conduct or control failures. For performance year 2025 the six large United States banks clustered tightly: Goldman Sachs at $47 million, Morgan Stanley at $45 million, JPMorgan Chase at $43 million, Citigroup at $42 million, Bank of America at $41 million and Wells Fargo at $40 million. Bank of America sits fifth of six on chief executive pay while running one of the largest workforces of the group, which is part of why its 272 to 1 pay ratio is higher than the award alone would suggest. On the ordinary employee side the peer comparison is functional rather than numerical: Citigroup, JPMorgan Chase and Goldman Sachs use overlapping Analyst, Associate, Vice President, Executive Director and Managing Director conventions, but none of the four publishes a grade-to-salary matrix, so no defensible band-by-band cross-bank comparison exists.
